These Terms of Service constitute a legally binding agreement between you and Alpha Jan Inc. regarding your use of our website and services. By accessing or using our services, you agree to be bound by these terms.

• Ongoing support and maintenance services

Service Agreements

All professional services are subject to a separate written agreement between Alpha Jan Inc. and the client. These Terms of Service supplement but do not replace individual service agreements. In case of conflict, the specific service agreement shall prevail.

Intellectual Property Rights

Unless otherwise specified in a service agreement:

• Alpha Jan Inc. retains ownership of all pre-existing intellectual property, methodologies, and tools used in providing services.
• Work product specifically created for a client under a service agreement shall be owned as specified in that agreement.
• The client grants Alpha Jan Inc. the right to use project information for portfolio and marketing purposes, subject to confidentiality obligations.
• All website content, including text, graphics, logos, and software, is the property of Alpha Jan Inc. and protected by copyright laws.

User Obligations

When using our services or website, you agree to:

• Provide accurate and complete information
• Maintain the confidentiality of any account credentials
• Use services only for lawful purposes
• Not interfere with or disrupt our services or servers
• Not attempt to gain unauthorized access to any systems or data
• Comply with all applicable laws and regulations
• Cooperate in good faith during service delivery

Payment Terms

Payment terms for professional services will be specified in individual service agreements. General payment provisions include:

• Fees are due as specified in the service agreement
• Late payments may incur interest charges
• Alpha Jan Inc. reserves the right to suspend services for non-payment
• All fees are in Canadian dollars unless otherwise specified

Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the business relationship. This obligation survives termination of services and continues for a period specified in the service agreement or as required by law.

Warranties and Disclaimers

Alpha Jan Inc. warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. However:

• Services are provided as is without warranties of any kind beyond those explicitly stated in service agreements
• We do not warrant that services will be uninterrupted or error-free
• We do not guarantee specific results or outcomes unless explicitly stated in writing
• Third-party products or services are subject to their own terms and warranties

Limitation of Liability

To the maximum extent permitted by law:

• Alpha Jan Inc. shall not be liable for indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claim shall not exceed the fees paid for the specific services giving rise to the claim
• We are not liable for damages resulting from client's failure to follow recommendations or implement solutions properly
• Liability limitations do not apply to damages caused by gross negligence or willful misconduct

Indemnification

You agree to indemnify and hold harmless Alpha Jan Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of services, violation of these terms, or infringement of any third-party rights.

Term and Termination

These Terms of Service remain in effect while you use our services or website. Either party may terminate a service agreement as specified in that agreement. Upon termination:

• All outstanding fees become immediately due
• Each party shall return or destroy confidential information
• Provisions regarding confidentiality, intellectual property, and liability survive termination
• Alpha Jan Inc. may retain copies of work product as required for legal or professional purposes

Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or technical failures.

Dispute Resolution

Any disputes arising from these terms or our services shall be resolved as follows:

• Initial attempt at resolution through good faith negotiation
• Mediation if negotiation is unsuccessful
• Binding arbitration or litigation as specified in service agreements
• Disputes shall be governed by the laws of Ontario, Canada
• Venue for any legal proceedings shall be Ottawa, Ontario

Modifications to Terms

Alpha Jan Inc. reserves the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of services after changes constitutes acceptance of modified terms. Material changes will be communicated to active clients.

Privacy

Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Assignment

Waiver
